Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services provided by Viovn Technologies Pvt. Ltd. (“Viovn”, “we”, “us”), including Lab0, Viovn Cert, and the Viovn website.

By accessing or using any Viovn service, you agree to be bound by these Terms. If you are agreeing on behalf of an institution, you represent that you have authority to bind that institution to these Terms. If you do not agree, do not use our services.

The Services

Viovn currently offers the following services:

• Lab0: A browser-based platform for conducting secure coding examinations, including a sandboxed IDE, auto-evaluation engine, the SecureExam lockdown browser, AI-assisted proctoring, and faculty analytics dashboards.
• Viovn Cert: Authorized training and certification programs in partnership with Scrum Alliance, delivered as live instructor-led sessions for individuals and corporate batches.
• Lab0 Campus Management (beta): An institutional ERP platform for admissions, academics, attendance, fees, and examination management. Available to selected institutional partners under a separate agreement.

We reserve the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice to contracted institutions.

Eligibility

Viovn’s services are designed for institutional use. Direct access by students is provided only through an institution that has an active agreement with Viovn.

To enter into an agreement with Viovn as an institution, you must:

• Be a legally registered educational institution, university, corporate entity, or training organisation
• Have authority to bind your organisation to these Terms
• Provide accurate and complete information when signing up

Viovn reserves the right to decline service to any institution or individual without providing a reason.

Institutional Use

Institutions that subscribe to Lab0 or other Viovn services agree to:

• Designate an authorised contact person responsible for the institution’s use of the platform
• Ensure that student data provided to Viovn is collected with appropriate consent under applicable law
• Use the platform only for legitimate academic assessment and institutional purposes
• Not share platform credentials with third parties outside the institution
• Inform students that their exam session is subject to proctoring and automated evaluation
• Review proctoring flags with appropriate discretion — flags are indicators, not conclusive evidence of misconduct

Institutions are responsible for all activity that occurs under their account, including actions by their faculty, staff, and students.

Acceptable Use

You may not use any Viovn service to:

• Reverse-engineer, decompile, or attempt to extract source code from any Viovn software
• Interfere with or disrupt platform infrastructure, servers, or networks
• Attempt to bypass or defeat the SecureExam lockdown browser or any security measure
• Conduct unauthorised penetration testing or vulnerability scanning
• Upload malicious code, viruses, or any harmful content
• Impersonate another person or institution
• Use the platform in a manner that violates any applicable Indian or international law
• Resell, sublicense, or transfer access to the platform to any third party without Viovn’s written consent

Violations may result in immediate suspension of access and, where required, reporting to relevant authorities.

Student Conduct During Examinations

Students accessing Lab0 through their institution agree that during an examination:

• They will not attempt to circumvent the SecureExam lockdown browser or access unauthorised resources
• All submitted code represents their own independent work, unless the examination explicitly allows collaboration
• Their session activity — including keystrokes, tab events, and screen flags — may be recorded and reviewed by institution staff
• Submissions are final once the examination ends or time expires

Academic misconduct policies are enforced by the institution, not by Viovn. Viovn provides evidence; the institution makes decisions.

Intellectual Property

All software, designs, documentation, and content that make up the Viovn platform — including Lab0, the SecureExam browser, and Viovn Cert materials — are the exclusive intellectual property of Viovn Technologies Pvt. Ltd. or its licensors. Nothing in these Terms grants you any ownership interest in our software or content.

Your content: Exam questions, problems, and test cases created by institution faculty remain the intellectual property of the institution. Student code submissions belong to the respective students. Viovn does not claim ownership over content created by institutions or students on the platform.

You grant Viovn a limited licence to host, process, and transmit your content solely to the extent necessary to operate the services.

Data and Privacy

Use of Viovn’s services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.

Institutions that process student data through Lab0 act as data controllers under the Digital Personal Data Protection Act, 2023. Viovn acts as the data processor. A Data Processing Agreement is available on request and forms part of the institutional contract.

Payment and Pricing

Pricing for Lab0 is based on the number of active students per month, billed annually, with institutional minimums. The applicable rates are set out in the Order Form or agreement signed between Viovn and your institution.

• Invoices are issued in advance of the billing period
• Payment terms are net 15 days from invoice date unless otherwise agreed
• All prices are exclusive of applicable taxes (GST)
• Viovn reserves the right to revise pricing on renewal with 60 days’ notice

Failure to pay within the agreed terms may result in suspension of access. Disputes regarding invoices must be raised within 14 days of receipt.

Limitation of Liability

Viovn provides its services on an “as is” and “as available” basis. While we work hard to maintain uptime and reliability, we do not guarantee that services will be uninterrupted, error-free, or free from security vulnerabilities.

To the maximum extent permitted by applicable law:

• Viovn’s total liability for any claim arising from these Terms or use of our services shall not exceed the fees paid by the institution in the 3 months preceding the claim
• Viovn shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, loss of revenue, or reputational harm
• Viovn is not responsible for examination misconduct decisions made by institutions based on proctoring reports

Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be limited under Indian law.

Termination

Either party may terminate the service agreement by providing written notice as specified in the signed contract. In the absence of a signed contract, either party may terminate with 30 days’ written notice.

Viovn may terminate or suspend access immediately, without notice, if:

• You materially breach these Terms and fail to cure within 7 days of notice
• Your use poses a security risk to the platform or other users
• You fail to make payment after a 15-day grace period
• Continuing service would violate applicable law

On termination, your right to access the platform ends. We will retain your data for the period described in the Privacy Policy, after which it will be securely deleted. You may request an export of your data before deletion.

Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or use of Viovn’s services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation for a period of 30 days from written notice of the dispute.
